Edexcel Limited (company number 4496750), referred to as “we”, “us”, “our” or “Edexcel”, is a private limited company incorporated in the United Kingdom. All of our websites are owned and operated by Edexcel.
This agreement (“the Agreement") is a legal contract between you and Edexcel that governs your use of this website (“the Site”) and any service provided on the Site .

Service Description


The service allows you to join Communities from Edexcel, which will enable you to participate in discussion forums and any related services including blogs, chat and Member’s profile, which you select upon joining the panel (“the Service").

Use of Website


Prior to being permitted to use the Service on the website you will be required to indicate onscreen at point of login your acceptance of these terms and conditions of use of the Service. You are responsible for any hardware, systems and/or software program(s) you use and any associated fees and expenses to connect to or use the Internet, and/or to use any  Materials.

Security


You must not allow others to use your login and username details or account, and you are solely responsible for maintaining the confidentiality and security of your account. You agree to notify Edexcel immediately of any unauthorised use of your login details or account. Edexcel will not be liable for any losses arising out of the unauthorised use of your login details and/or account and you agree to indemnify and hold harmless Edexcel or any associated companies, agents, affiliates and/or licensors, as applicable, for unauthorised uses of your account.

Limits on Use


Your access to and/or use of any Services or Materials will be limited by the rules assigned to the Services or Materials by Edexcel ("Limits on Use") and described in this section. You may not attempt (or support others' attempts) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with any Limits on Use, Services or Materials. Edexcel reserves the right to modify the Limits on Use at any time and your continued use of the Service after each such modification shall be deemed acceptance of any such modification.
"Materials" are Materials that you may have obtained as part of the Service and which you may be able to download onto your own personal computer. You may print any printable copies of Materials only for your own non-commercial use. You may not distribute or copy Materials to anyone else. You may not authorise, encourage or permit any Materials used or obtained by you to be reproduced, modified, displayed, performed, transferred, distributed, communicated to the public or otherwise made available or used by anyone else. You agree to advise Edexcel promptly of any such unauthorised use(s).

Discussion Forum, Chat, Member’s profile and Download


If a user wishes to take part in a dedicated discussion forum, messages posted on the forums must not knowingly contain unlawful, false, abusive or defamatory material or anything that other users might find racially, ethnically or otherwise offensive. 
Messages may not contain personal information or be libellous or inflammatory about named individuals as this may be considered harassment. Comments and images posted on any of the forums may not defame, compromise the trade secrets, confidentiality or infringe the copyright or other intellectual property rights of Edexcel or any third party. You agree to indemnify, defend and hold Edexcel harmless against any claims, losses or liabilities arising in connection with the foregoing. The Communities from Edexcel forum activities do not allow the addition of anonymous comments. 

 

Edexcel does not undertake to monitor communications prior to their being uploaded onto the site; nevertheless, as with downloads (see below), content will be removed if reported as and/or found to be inappropriate.

 

Edexcel retains the right to remove any material that it deems inappropriate as soon as it is identified.  If any member considers that another user is behaving in an anti-social manner, they should use the ‘report-abuse’ feature to alert the moderators in the "Contact Us" form.
Users are not permitted to post or otherwise transmit unsolicited promotional material, ‘junk’ mail or ‘spam’. Edexcel reserves the right to remove such postings from these forums, which are intended for peer-to-peer use only. Persistent abuse is likely to result in a user ban.
Edexcel does not guarantee the accuracy of the content of any forum message. The views expressed in any forum are those of the author.

 


- Discussion Forum
By posting comments on the [Name] forums, users agree to allow Edexcel to use, reproduce, modify and quote the content without notification or consent. Users sometimes include references to other websites beyond the control of Edexcel. As such Edexcel cannot be held responsible for the content of such websites.   
- Chat
• The purpose of the [Name] chat facility is to allow free exchange of information and ideas among members. This can also be used in some cases in a closed environment for a dedicated research activity into which a group of members is invited and agrees to participate.
- Member’s profile
•Your profile name(s) must not include words that are racist, profane, crude or otherwise offensive.
- Download/Upload section
• This section will be used to view documents for research purposes and/or to share useful documents with forum members
• Please note that any documents uploaded by forum  member in this area will be monitored by the Forum Team on a regular basis. Such documents will not be acknowledged or endorsed by Edexcel.
• Users are reminded that any materials uploaded under this section must not infringe any third party intellectual property rights.


Copyright, trademarks and copying materials


All Intellectual Property Rights in the Site are owned by or licensed to Edexcel. Intellectual Property Rights include but are not limited to patents, trademarks, copyright, database rights, design rights and rights in data and all rights of a similar nature throughout the world, whether or not registered or capable of registration (“Intellectual Property Rights”). You may not copy, reproduce, modify, distribute, republish, display, post or transmit any part of the Site or the Materials without our express permission in writing.

Infringement


If Edexcel receives a notice alleging that you have engaged in behaviour that infringes Edexcel’s or any other party's Intellectual Property Rights or reasonably suspects the same, Edexcel may suspend or terminate your account without notice to you. If Edexcel suspends or terminates your account under this paragraph, it shall have no liability or responsibility to you, including for any amounts that you have previously paid.

Electronic communications


When you visit the Site or send emails to us, you are communicating with us electronically. We communicate with you by email or by posting notices on the Site. For contractual purposes, you consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. This condition does not affect your statutory rights.

Alteration of online registration procedure and/or changes to these terms and conditions


We reserve the right to make changes to the Site, our policies and these terms and conditions at any time. You will be subject to our policies and terms and conditions in force at the time that you use the Site or that you request a Service from us, unless any change to those policies or these conditions is required to be made by law or government authority (in which case it will apply to requests for Services previously placed by you). If any of these conditions is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.

Events beyond our reasonable control


We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.

Our liability to you


Due to the nature of the Site and circumstances beyond our control, we do not warrant that the information provided by or on the Site is accurate or error free. Some information available through the Site may be identified as subject to a disclaimer. If you rely on that information, you do so subject to the disclaimer.
We will not be liable to you for any loss you suffer due to the Site being wholly or partly unavailable, for example as a result of technical breakdown, power failure or industrial action.
We will not be responsible for any loss of or damage to your data, software, computer, telecommunications or other equipment caused by you using the Site (including as a result of viruses or other website defects) unless such loss or damage is directly and solely caused by our negligence or deliberate default.
To the extent permitted by law, Edexcel hereby disclaims all liability (howsoever arising) in connection with any loss and/or damage, arising out of or in connection with any use of, or inability to use, all or any part of the Site, the Materials and/or any website to which the Site is linked, or any action taken (or refrained from being taken) as a result of using any of these.

The Site contains a link to our main website www.edexcel.com where a user may obtain additional information on our portfolio of services or ask specific questions to our subject specialist teams. Our Site may contain links to other websites for your convenience. Our inclusion of links to third party websites does not imply that Edexcel endorses these websites or guarantees the reliability of the information that they contain.

Waiver


If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Governing law and jurisdiction


These conditions are governed by and construed in accordance with the laws of
England and Wales. Any disputes arising out of or in accordance with these term and conditions are subject to the non-exclusive jurisdiction of the English courts.
